We Only Form Clean Companies
We form companies with you as the first directors and shareholders. Other agents may form companies using agent director(s), then resign and transfer the shares to your directors. The presence of these agent directors and shareholders leads to confusion and delays when opening bank accounts or anything involving credit transactions for your company such as lease arrangements or opening a merchant account. Anyone doing a search of your company will find that the first shareholders were not yourselves, but the agent. They will then require proof that the shares have been transferred to yourselves to establish and confirm that you are the owners of the company. We form CLEAN COMPANIES. You are appointed as director(s) and shareholders at the outset. This means that no other director or shareholder other than the ones you appoint will appear in the company registry.
You are entitled to engage in business activities as a sole trader. However, if things should go wrong you will be personally liable for any debts incurred.
By forming a company, you create a separate legal body. Therefore, the company and not you personally will be liable for any business activities carried out via the company. If the company should fail through no fault of your own, you will not personally be held accountable for any debts incurred.

It is important to check with Companies House that your preferred company name is available. If not, you will have to choose an alternative.
The main restrictions are:
- Names likely to cause offence are not allowed
- You cannot register the same name as another registered company
- The use of certain words is restricted
If your company name is similar to another name already registered, an objection by the other company can be made within 12 months following the incorporation of your company and the Secretary of State could direct you to change your company’s name.
